  • This Service Terms and Conditions, Business Rules and SLA (hereinafter referred to as "Terms") stipulate the obligations, rights and responsibilities between Inno Factory Co., Ltd. (hereinafter referred to as "Service") and the entity ("Customer") who agrees to use the ASTRA Cloud service (hereinafter referred to as "Service").

    Article 1 (Effect of Terms and Conditions)
    ① These terms and conditions consist of terms and conditions, business rules, and SLAs, and take effect when the customer applies for membership in the ASTRA Cloud ("ASTRA") and ASTRA accepts the membership.
    ② If the customer agrees to the terms and conditions through the agent (including, but not limited to, family members and employees), the agent guarantees that he has the rightful authority to represent the customer under contract and law, and the customer agrees and complies with the terms and conditions.
    ③ Customer's acceptance of the terms and conditions means that Customer's employees and all users using the Services, such as branch offices, affiliates, partners, and clients, are responsible for complying with the terms and conditions.

    Article 2 (Change of Terms and Conditions)
    ① Innofactory may change the terms and conditions from time to time, and the changed terms and conditions will apply from the time it is published on the website.
    ② By continuing to use the service, the customer agrees to the changed terms and conditions. However, the customer is notified individually by electronic means, such as electronic note, and if the customer does not object or continues to use the service after 3 days of notification, the customer agrees to the changed terms and conditions after the expiration or continuous use.

    Article 3 (Free Trial (including demonstration experience)
    ① If a customer applies for a Free Trial, the same applies to these terms and conditions and some functionality may be limited by technical policy.
    ② INO FACTORY may discontinue the provision of all Free Trial services at any time.
    ③ If the customer does not switch to a paid customer at the end of the Free Trial period, Innofactory will no longer provide the Free Trial service to the customer. In addition, the customer will not be able to access, retrieve, or reuse any data entered during the Free Trial period and any settings generated.
    ④ If you want to continue using your data and settings, you must switch to paid customers before the end of the Free Trial period.

    Article 4 (Service)
    ① Services are based on the ASTRA Cloud on the Internet operated by Inno Factory, and are only provided through the PSTN (network services over the Internet).
    ② Services are based on specific Internet browsers and versions, and browsers and versions are subject to technical changes. Some or all of the services may not work with browsers or versions other than the criteria.
    ③ Innofactory may modify the Services at any time (including, but not limited to, the addition of new functions and procedures, changes and deletions of existing functions and procedures) by technical policy judgment. However, if the Inno Factory determines that the service is an important modification, the modification details may be notified to the customer.
    ④ Modifications to the service may occur on a regular or irregular basis.
    ⑤ Customers may propose or provide ideas to Innofactory on the functions and procedures they require at any time, but Innofactory will at its discretion determine whether to develop them based on the frequency, potential, direction, and suitability of their requests.

    Article 5 (Data Protection and Management)
    ① Data includes, but not limited to, documents, drawings, posts, etc. entered by the customer and stored within the physical server, and any additional material generated through the combination, transformation, or reproduction of such materials.
    ② Innofactory has implemented minimum industry standard systems and procedures to protect customer data and prevent unauthorized access to it.
    ③ If data is lost
    • The Innofactory doesn't know which customer's data is less important to the entire customer's data stored, or which is more important to a particular customer's data.
    Innofactory manages all customer data with the same level of care and procedure, regardless of the importance or priority of the stored data.
    • During normal service maintenance activities such as functional upgrades, system checks and replacements, data migration, and other routine service delivery, Innofactory will not pay more than the customer has paid in the last 12 months, regardless of the importance or priority of the data.
    • Customer is responsible for any data that is lost or unrecoverable due to customer error or negligence of management.
    ④ Possible service errors
    • Computer software has the possibility of errors due to the nature of program coding by human hands, and services provided by Inno Factory include the possibility of errors in input, storage, and output.
    • If the customer becomes aware of any errors in the input, storage, or output mentioned above, he or she will immediately notify the Inno Factory, and the Inno Factory will do its best to correct the errors.
    ⑤ Customer agrees that it will not upload, publish, distribute, or transmit any data contained in the following, and will not allow it to third parties, and that the Innofactory may, at its discretion, delete such data immediately.
    • including illegal, fraud, defamation, obscenity, pornography, slang, intimidation, hate, taunt, insult, and inappropriate or offensive information or communication, and any content that may infuriate others and is subject to legal, criminal, or civil liability
    • Viruses, Trojan horses, worms, or other destructive malicious software and resources
    • Any information and software that the customer does not have legal rights or is not authorized by the copyright holder or intellectual property holder
    • Data that is objectively appropriate to delete in light of the purpose and contents of other data preparation
    ⑥ Innofactory can monitor or collect all data to protect ASTRA and its customers or to ensure that services are operating normally.
    ⑦ INOFACTORY may, at its discretion, refuse to publish, delete, or delete any data that is not permitted or undesirable, or that is inappropriate or violates these Terms and Conditions.

    Article 6 (Protection of Personal Information)
    ① Personal information refers to other information sensitive to Innofactory's judgment, such as names, phone numbers, and e-mails that distinguish customers using ASTRA.
    ② Inno Factory distributes sensitive personal information entered by customers into ASTRA and tries to protect it from leakage to third parties.

    Article 7 (Payment of Payment)
    ① Under this agreement, the customer will pay the Cloud service usage fee and construction setup fee to Innofactory in cash within 15 days of the tax invoice issuance date.
    ② If payment is not made on the payment date, the delayed interest rate of 15% per year prescribed by statutes shall be applied.
    ③ Changes in service usage fees and deployment setup costs during the term of this Agreement shall not apply retroactively throughout the term of the Service Agreement.

    Article 8 (Termination)
    ① "Customer" may terminate or terminate this contract after giving written notice to "Inno Factory" within 30 days from the date on which he/she knew or was able to know the fact, if there are any of the following reasons.

    if the services agreed to in this Agreement are not provided • Where the services provided are different from or markedly different from displays, advertisements, etc.
    • Other cases where normal use of the service is impossible or significantly difficult.
    • In the event that "Inno Factory" intentionally or negligently damages "Customer" ② Each party may immediately terminate or terminate this Agreement by written notice without the Supreme Court proceedings to the other party if there are any of the following reasons.
    • Where it is difficult to perform contractual obligations due to bankruptcy of securities issued and endorsed by the parties, application for or commencement of bankruptcy and rehabilitation procedures.
    • Where it is difficult to perform this contractual obligation due to compulsory disposition such as seizure, provisional seizure, provisional disposition, auction, and disposition for arrears of major property.
    • Where it is deemed impossible or remarkably difficult to perform the obligations of this contract due to disputes such as intellectual property rights related to this contract, lawsuits, complaints, and accusations by third parties, and sanctions by administrative agencies •
    When the other party has requested performance or correction of the nonperformance of obligations under this Agreement, but has not performed/corrected within 14 days • When a bill or check issued or endorsed is not paid, such as bankruptcy.
    • When it is deemed difficult to implement this contract due to administrative measures such as suspension of business.
    • When a trade secret (including personal information) provided to the other party is used by the other party for purposes other than this contract, such as disclosure or leakage.
    • When a normal contractual relationship cannot be expected for a considerable period of time due to a natural disaster or other equivalent situation.
    • In the event of other serious reasons such as the other party's credit, image damage, and destruction of trust relationships, etc., it is difficult to continue this contract.
    ③ In the event of cancellation or termination of this contract or failure to comply with obligations under this contract, the party responsible for the damage incurred by the other party shall compensate within the scope of the law. If the "customer" claims compensation for damages, the total contract amount paid to "Inno Factory" shall be limited to that limit.

    Article 9 (Pause)
    Innofactory may suspend services at any time if it deems it necessary to conduct periodic or irregular inspections of systems, urgent security needs, or other services. Inno Factory is not obligated to compensate customers for any damage caused by the suspension. However, in the event of a service interruption without prior notice due to reasons attributable to Inno Factory, compensation shall be made in accordance with the Customer Service Level Agreement (SLA).
    Article 10 (Exemption and Restriction)
    ① Force Majeure: Customer and Innofactory are not responsible for non-compliance with the terms and conditions caused by out of their control, such as natural disasters, war or terrorism, riots, labor-management issues, government actions, Internet failures, and denial of service (DoS) attacks.
    ② Limitation of Indemnity: Except for Article 10 of this Agreement, in the event of a separate damage to the customer due to reasons attributable to the Innocence Factory, the Innocence Factory shall not compensate more than the amount contracted (paid by the customer
    Article 11 (Application Law and Dispute Resolution Method)
    ① This Agreement shall be governed by and construed in accordance with [Republic of Korea] Law.
    ② All disputes arising out of this Agreement and its non-performance shall be settled by arbitration in accordance with the Arbitration Rules of the Korea Commercial Arbitration Board in Seoul, Republic of Korea. The decision made by the arbitrator is final and binds both parties concerned. The number of arbitrators is three, and the language to be used for arbitration is in Korean.

    Customers using the Service must comply with this ASTRA Business Rules ("Rules"). In the event that the customer is found to have violated the rules, the Innofactory may at any time suspend the customer's use of the service or terminate the contract. Innofactory may change and announce the rules as necessary, and the customer is responsible for knowing and complying with the latest information posted in the rules.

    Definition of Terms

    Services: Products, software, human services, functions, etc. provided by Innofactory to customers.
    Access account: The access account is a combination of Korean, English, and numbers applied by the customer and approved by the Inno Factory to designate a person who has the right to use the service when using the service, and the access account is divided into the following two types according to the authority.
    - Users who can set up administrative settings for using the Administrator Account Service
    - End users for using the User Account Service

    Intellectual property rights
    Services are protected by copyright, trade secrets and other intellectual property rights. All intellectual property rights related to the service belong to Innofactory, and the customer is only authorized to use the service.
    Service may only be used for purposes specified by Inno Factory. The Customer shall meet all obligations for the payment of the service fee during the term of the contract.
    Prohibited behavior while using the service

    In the event that the customer performs the following prohibited acts while using the service, Innofactory may immediately terminate the service and terminate the contract.
    • Any attempt to sell, resell, lease, or similar all or part of the Services to a third party, except as permitted by the Inno Factory • If you are attempting to create a replacement for the service or a similar service.
    • Transfer, upload, distribute content that may or may not be acceptable, such as illegal, defamation, harassment, abuse, fraud, infringement of rights, obscenity, etc., or recommend such behavior.
    • Deploying viruses, worms, faults, Trojan horses, corrupted files, false virus information, or other harmful or fraudulent items.
    • Pretending to be someone else or deceiving the source of your identity or email through other means such as code, user ID, email address, etc.
    • If you use this service to infringe on other people's legal rights
    • In the case of encouraging or encouraging illegal activities
    • Where it interferes with the smooth use of services by other service users.
    • To modify, modify, convert, or reverse engineer any part of this Service.
    • To remove any copyright, trademark or other proprietary representation contained in this Service.
    • To replace or manipulate some of the formats of web pages belonging to this Service.
    • When modifying the Innofactory logo or other Innofactory trademark display
    • In the case of reproducing, distributing, or commercial use of information obtained using the service provided without the prior written approval of the Inno Factory.

    In the case of leaking, distributing, or commercial use of Innofactory's information acquired during the conclusion or implementation of this contract • When used by users who are in competition with Inno Factory or services.
    • Monitoring, benchmarking, or other competitive purposes of the Innofactory or service.
    • In the case of swearing, slang, loudness, informal speech, false claims, and other insulting remarks to Inno Factory through other means such as phone calls, bulletin boards, e-mails, the Internet, etc.
    • Where false information is registered when applying for service use.
    • If you use it in violation of all service-related regulations, such as other terms of use,

    Password management
    Customer is responsible for managing customer passwords and should not be used by third parties. If the customer's password is stolen or recognized as being used by a third party, you are responsible for reporting to the Inno Factory and must follow the guidance of the Inno Factory. Even if you do not report the above facts to Inno Factory, Inno Factory is not responsible for any disadvantages caused by not following the guidance of Inno Factory.

  • This ASTRA Cloud Service Level Agreement ("SLA") applies individually to each account using the ASTRA Cloud service ("Service"). This SLA constitutes part of the Service Terms and Conditions, and any content not specified in this SLA is subject to the terms and conditions of the Service Terms and Conditions, and if there is a conflict, this SLA shall prevail.

    This SLA may be revised according to the procedure prescribed in the service terms and conditions, and the SLA at the time of failure is applied.

    Service Responsibility
    The Company guarantees a monthly availability rate of at least 95% for the duration of the month, and if the monthly availability rate is not met, the Company issues a service credit to the Customer under this SLA.

    Definition
    • Failure: System connection failure and loss of data outside backup policy
    • Time of failure: Total time of failure during the month, provided that the application of this SLA is excluded, that time is not included in the time of failure
    • Monthly Availability (%) = 100ⅹ[1-{Total Time of Failure (in Hours)/Total Time of Month (in Hours)}]

    Unless otherwise determined through a separate contract between the company (service provider) and the customer, the customer's remedy for the performance and availability of this service caused by reasons attributable to the company is to receive service credits under the terms of this SLA.
    Service credits are calculated and issued as prescribed above (cutting less than KRW 10). The issued service credit may be applied to all services used by the customer under the account, except in extenuating circumstances, but may not be transferred or applied to an account other than the account.

    Service credit billing and payment procedures
    In order for a customer to receive a service credit, the customer must claim the service credit through the company's customer support center by the end of the following month (for example, if the failure occurs on February 15th, by March 31st).
    If the Company determines that the monthly availability of this Service does not meet the standard, the Company shall issue a Service Credit within the following month of the billing month.

    SLA Exceptions
    This SLA does not apply to service outages caused by reasons other than those attributable to ASTRA, such as 약관 caused by factors described in the Force Majeure clause of the Terms and Conditions or 고객 failure of either or both of the customer's or third party's equipment.

  • Inno Factory Co., Ltd. is doing its best to protect users' rights and interests by setting personal information processing policies under the Information and Communication Network Utilization Promotion and Information Protection Act, Personal Information Protection Act, Communication Secret Protection Act, and Telecommunication Business Act.
